2. Nature of Services

We provide business formation assistance, document preparation, registered agent services, compliance monitoring, and related corporate support.

• Not Legal Advice: We are not a law firm, accounting firm, or financial advisory practice. Use of our Services does not establish an attorney-client, accountant-client, or fiduciary relationship.
• Government Availability: All documents we help prepare are available directly from government agencies at reduced cost or no cost when self-filed. By using our Services, you acknowledge that you are paying for private preparation and ongoing compliance support services in addition to required government filing fees.

3. Eligibility & User Obligations

By using our Services, you represent and warrant that:

• You are at least 18 years of age and legally competent to enter into agreements.
• You have the proper authority to act on behalf of the entity you are establishing or filing for.
• All information you provide is truthful, complete, accurate, and current.

You are solely responsible for:

• Carefully reviewing all prepared documents prior to submission.
• Providing timely signatures, approvals, or additional information as required.
• Ensuring adherence to all filing deadlines, ongoing reporting obligations, and regulatory requirements.

We are not responsible for penalties, late fees, administrative dissolution, or legal consequences resulting from your failure to provide accurate or timely information.

4. Fees & Payment

• All service fees must be paid in full at the time of placing your order.
• Our service fees are separate from, and in addition to, government or third-party charges.
• Once a filing or service has been initiated, fees are non-refundable, except as explicitly outlined in our Refund Policy.

5. Refund Policy

Refund requests are evaluated in accordance with our published Refund Policy, available on our Site. Certain charges, including but not limited to government filing fees, third-party charges, expedited services, or completed work, are strictly non-refundable.

6. Intellectual Property

All content, software, designs, text, graphics, and logos on the Site are the exclusive property of US Corporate Filing LLC or its licensors. Unauthorized reproduction, modification, or distribution of our intellectual property is strictly prohibited.

7. Limitation of Liability

To the fullest extent permitted by law:

• We do not warrant that filings will meet any specific deadlines unless expressly guaranteed in writing.
• Ultimate compliance responsibility rests with the business owner or entity.

10. Termination of Services

We may suspend or terminate access to our Services at our sole discretion, with or without notice, for conduct we believe violates this Agreement or is otherwise harmful to our business operations.

11. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes shall be resolved exclusively in the state or federal courts located in Leon County, Florida.

12. Modifications to Terms

We reserve the right to modify or update these Terms at any time. Any changes will be posted on this page with an updated 'Last Updated' date. Continued use of the Services constitutes acceptance of such changes.

13. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

This Agreement, together with our Privacy Policy and Refund Policy, constitutes the entire agreement between you and US Corporate Filing LLC and supersedes all prior agreements or understandings regarding the Services.
